1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and Tools by Design Development Group, LLC ("we," "us," or "our") covering your access to and use of Precision Foundry (the "Service").

By creating an account, starting a trial, purchasing a subscription, inviting users, or otherwise using the Service, you agree to these Terms, the Privacy Policy, the AI Data Disclosure, and the Cancellation Policy. If you do not agree, do not use the Service.

2. Eligibility and authority

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Service.

If you create a workspace, start a subscription, or manage billing for an organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" includes the organization.

3. Account registration and security

You must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for activity that occurs under your account.

Notify us promptly at support@precisionfoundry.io if you suspect unauthorized access. We may require password resets or take other reasonable steps to protect the Service.

Organization administrators may invite users, assign roles, and manage workspace settings. You are responsible for choosing appropriate access levels for your team.

4. Organization workspaces and administrators

Precision Foundry organizes work into company workspaces. Workspace administrators can manage users, invitations, company information, and—when authorized—billing.

Administrators can access content and settings within the workspace according to role permissions configured in the Service. Your organization is responsible for administrator actions and for promptly removing access when someone should no longer use the workspace.

5. Description of Precision Foundry

Precision Foundry provides tools that help organizations describe, evaluate, prioritize, and plan work. The Service does not replace professional, legal, financial, security, compliance, or technical judgment. Your organization remains responsible for reviewing decisions and work products created through the Service.

Features may include project intake, discovery interviews, estimation and scoring helpers, requirements and delivery planning tools, issue tracking aids, reporting, file attachments for delivery work, and AI-assisted drafting or analysis where enabled.

We may update, add, or remove features as we improve the Service. Material billing changes are addressed in the subscription and cancellation sections and related disclosures.

6. Subscription plans, seats, trials, and billing

Paid use of Precision Foundry is offered through subscription plans that may include fixed monthly prices, per-seat charges, base fees plus additional seats, included user limits, and included AI usage allowances. Current self-serve plan details are shown on the Pricing page and again before checkout.

Subscriptions renew monthly until canceled. Seat quantity and plan rules affect what you are charged. Professional plan signups may begin with a 7-day trial that requires a payment method. Unless you cancel before the trial ends, the subscription converts to a paid subscription and your payment method is charged the then-applicable recurring price.

Payment processing is handled by Stripe. You authorize us and Stripe to charge the payment method on file for subscription fees, applicable taxes when collected through Stripe, and separately billed AI usage charges described below.

Authorized billing administrators can manage payment methods, invoices, and cancellation through the Billing section of the workspace, which opens the Stripe customer portal.

7. Separate AI usage charges and overages

Software subscription fees and AI usage are billed separately. Plans include an AI allowance measured in dollars based on actual OpenAI cost. Trial workspaces may have a temporary AI allowance that differs from the paid plan allowance.

AI usage above the included allowance is billed as an overage at actual OpenAI cost plus 25%. Overage amounts incurred before cancellation or period end remain payable.

Workspace usage summaries show included, used, and remaining AI budget where available. Estimates of typical workflow cost are informational only; actual usage varies with project size and how your team uses AI features.

8. Customer content and ownership

You retain ownership of the information and materials you submit to Precision Foundry. You grant Tools by Design Development Group, LLC a limited, non-exclusive license to host, process, transmit, reproduce, and display that content only as needed to provide, secure, support, and improve the Service, comply with law, and enforce these Terms.

Customer content may include account and organization information, project narratives, discovery answers, requirements, estimates, delivery artifacts, attachments, comments, and similar materials your users enter or upload.

You represent that you have the rights needed to submit customer content and to grant the license above, and that doing so does not violate law or third-party rights.

9. AI-assisted features

Precision Foundry includes optional AI-assisted features that may send relevant project information, instructions, and existing work content to OpenAI to generate suggestions. See the AI Data Disclosure for details on what may be sent, what is stored locally, and provider settings used by the application.

AI-assisted features may produce incomplete, inaccurate, or inappropriate suggestions. AI-generated content is a draft, not a final decision or professional recommendation. You are responsible for reviewing, editing, approving, and validating AI-generated content before relying on it or using it in a project.

AI output is not guaranteed to be accurate, complete, unique, secure, legally compliant, or implementation-ready without human review. Do not treat AI suggestions as legal, financial, security, compliance, or professional advice.

Some helper features may fall back to non-AI heuristics when an AI provider is unavailable. Those heuristics are also drafts that require human review.

10. Acceptable use

You may use the Service only for lawful business purposes and in accordance with these Terms. You must not:

  • Probe, scan, or attack the Service, or attempt to bypass authentication, authorization, rate limits, or security controls.
  • Interfere with or disrupt the Service, related infrastructure, or other customers.
  • Use the Service to create or distribute malware, phishing content, or other harmful material.
  • Infringe intellectual property, privacy, or other rights.
  • Upload or process unlawful content.
  • Resell, sublicense, or provide the Service to third parties except as expressly permitted by your plan or a written agreement.
  • Misrepresent your identity, organization, or authority to act.
  • Use AI features to generate content you know is intended for unlawful or deceptive purposes.

11. Confidential and sensitive information

You decide what information to enter into the Service. Do not submit unnecessary sensitive personal information, regulated data, credentials, private keys, secrets, or highly confidential material unless your organization has determined that doing so is appropriate for your risk profile and legal obligations.

Precision Foundry is not marketed as a HIPAA service, PCI cardholder-data environment, or similarly specialized regulated system unless a separate written agreement expressly states otherwise. Do not rely on the Service for use cases that require certifications or controls that have not been confirmed for your deployment.

12. Third-party services

The Service depends on third-party providers, including OpenAI for AI-assisted features, Stripe for payments and subscription management, Resend for transactional email, Vercel and Vercel Blob for hosting and private file storage, Neon for database hosting, and Google Analytics for optional public-website measurement after cookie consent.

Third-party services are governed by their own terms and privacy practices. We are not responsible for third-party outages, policy changes, or acts outside our reasonable control, except as required by applicable law.

13. Intellectual property

We and our licensors own Precision Foundry, including software, interfaces, documentation, branding, and related intellectual property. These Terms do not transfer ownership of the Service to you.

Subject to these Terms and your subscription status, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your organization's internal business purposes during the term of your access.

14. Feedback

If you provide suggestions, ideas, or other feedback about the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use that feedback to operate and improve the Service without obligation to you. Feedback does not include your confidential customer content except to the extent you intentionally submit it as feedback.

15. Suspension and termination

We may suspend or terminate access if you materially breach these Terms, if required by law, if needed to address security risk, fraud, or abuse, or if invoices remain unpaid after reasonable notice.

You may stop using the Service at any time. Subscription cancellation is described in the Cancellation Policy and in Section 16.

Upon termination or expiration of paid access, your workspace may become read-only or otherwise limited depending on subscription status. We may disable access after a reasonable period consistent with our Privacy Policy and operational needs.

16. Cancellation

You may cancel a subscription through the Billing section of your workspace by selecting Manage Billing and Cancel Subscription, which opens the Stripe customer portal for an authorized billing administrator.

Unless otherwise stated during cancellation in the Stripe customer portal, cancellation takes effect at the end of the current paid billing period. You may continue using paid Service features until that date. The subscription will not renew after cancellation becomes effective.

Additional cancellation, trial conversion, refund, and AI-overage details are in the Cancellation Policy. If portal behavior is configured differently in Stripe, the in-product disclosure and this Section will be updated to match.

17. Data availability following cancellation

Canceling a subscription does not automatically delete the organization's workspace or content. Access and retention after cancellation are governed by these Terms and the Privacy Policy.

Contact privacy@precisionfoundry.io to request deletion, subject to legal, security, billing, and backup-retention requirements.

18. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that AI-generated or heuristic output will meet your requirements without human review.

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Tools by Design Development Group, LLC AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. IF YOU USED ONLY A FREE TRIAL AND PAID NOTHING, OUR TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations. In those cases, the limitation applies to the fullest extent permitted.

20. Indemnification

You will defend, indemnify, and hold harmless Tools by Design Development Group, LLC and its directors, officers, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your customer content; (b) your use of the Service in violation of these Terms or law; (c) your failure to obtain required rights or consents; or (d) disputes among your organization's users.

21. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Courts located in Travis County, Texas will have exclusive jurisdiction over disputes arising out of or related to these Terms, except where applicable law requires otherwise.

These Terms do not include mandatory arbitration or a class-action waiver. Any such clause would require separate legal review before adoption.

22. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date and may provide additional notice through the Service or by email when appropriate. Continued use after the updated Terms become effective constitutes acceptance of the changes, except where applicable law requires a different process.

Document version identifiers used for consent records may be updated when customer-facing terms change.
